Peppre operates as a business-to-business (B2B) service provider. Our services are delivered primarily to businesses and organizations for lawful commercial purposes.
2. Company Overview and Nature of Services
Peppre is a full-service digital, marketing, and print solutions provider offering a comprehensive suite of services including:

Services may be delivered directly by Peppre and/or through carefully selected third-party providers and production partners (e.g., hosting platforms, domain registrars, print production facilities, shipping carriers). Where third-party providers are used, Peppre remains the Client’s primary point of contact unless otherwise stated in writing.
3. Eligibility and Acceptable Use
You agree that you are engaging Peppre for lawful business purposes and that you have authority to enter into agreements on behalf of your business or organization.
3.1 Prohibited and High-Risk Activities
Peppre does not provide services for, facilitate, or knowingly support:

Gambling services or gambling-related payment processing

Adult content or adult services
-
Firearms, weapons, ammunition, or regulated weapon-related commerce

Controlled substances, pharmaceuticals (unless fully licensed and disclosed in writing), or illegal drug activity

Fraudulent, deceptive, or illegal business activities

Cryptocurrency exchanges, high-risk financial services, or unlicensed money services

Counterfeit goods, intellectual property infringement, or piracy

Any other activity prohibited by applicable law or payment processor policies
Peppre provides professional B2B digital, marketing, and print services only. If we determine that a Client’s business or content violates these requirements, we may refuse service or suspend work immediately.
4. Proposals, Agreements, and Scope of Work
Services may be provided under one or more of the following:

4.1 Scope Definition
The scope, timeline, pricing, and deliverables will be defined in the applicable proposal, invoice, or written agreement. Any service requested outside the agreed scope may require:

4.2 Client Responsibilities
To ensure timely delivery, the Client agrees to:

Maintain lawful content and required rights/licenses for all provided assets
Delays caused by Client inactivity or missing materials may extend timelines and may impact scheduled billing.
5. Billing, Recurring Subscriptions, and Payment Authorization
5.1 Billing Models
Peppre offers:

Monthly recurring subscription services (e.g., hosting, maintenance, marketing retainers, support plans)

Annual renewals (domain registrations, SSL certificates, hosting renewals)
-
Project-based invoices (web builds, printing, promotional production, consulting)
5.2 Payment Processing
Payments may be processed using secure, PCI-compliant payment processors, including Square. Peppre may migrate payment processing platforms to improve subscription management, operational efficiency, and reporting. This may result in billing transitions for existing recurring customers.
Peppre does not store full credit card numbers or CVV codes. Payment details are handled by the payment processor.
5.3 Authorization for Charges
By approving an invoice, signing an agreement, enrolling in recurring services, or approving a production proof, the Client authorizes Peppre to charge the agreed amounts according to the billing schedule stated in the applicable agreement or invoice.
5.4 Late Payments and Service Suspension
If payment is overdue, Peppre may:

Suspend hosting/maintenance services (where applicable)

Delay print production or shipments

Withhold deliverables until the account is current
Any service interruption caused by non-payment is the Client’s responsibility.
6. Cancellations and Termination
6.1 Subscription Cancellations
Recurring services may be canceled according to the written agreement or invoice terms. Unless otherwise stated, cancellation requests should be submitted in writing prior to the next billing cycle.
6.2 Termination for Cause
Peppre may terminate services if:

The Client fails to pay invoices after reasonable notice

The Client requests prohibited use

The Client engages in fraud or illegal activity

The Client threatens or harasses staff

The Client repeatedly violates proof/approval procedures
Termination does not relieve the Client of payment obligations for work performed or costs already incurred.
7. Digital Services: Delivery and Limitations
7.1 Hosting and Uptime
If Peppre provides hosting or managed server services, we make commercially reasonable efforts to maintain service availability. However, uptime may be impacted by third-party providers, scheduled maintenance, security incidents, or force majeure.
7.2 Security and Maintenance
Peppre may provide security updates, monitoring, and best-practice hardening. However, no system can be guaranteed 100% secure. The Client is responsible for:

7.3 Third-Party Plugins, Themes, and Licenses
Some projects may rely on third-party software and services. Availability, pricing, or terms for third-party products may change, and the Client may be responsible for license renewals unless explicitly included.
8. Printing, Production, and Promotional Products
8.1 Proof Approval
For printing and production, the Client is responsible for final proof approval. Once approved, production begins. Changes after approval may require rework fees and timeline adjustments.
8.2 Custom Production
Most printed items and promotional products are custom manufactured and cannot be refunded once production has started.
8.3 Production Times and Shipping
Production and delivery times are estimates and may be affected by:

Carrier delays

Weather events

Peak seasonal volume
Peppre is not liable for carrier delays beyond our control, but we will assist in tracking and resolution where possible.
8.4 Returns and Reprints
If a print or promotional order has a verified production defect (e.g., misprint, incorrect quantity, clear manufacturing error), the Client must notify Peppre promptly and provide supporting photos and details. Remedies may include reprint or credit at Peppre’s discretion.
9. Refund Policy
Because Peppre provides professional services and custom production:

Digital services are generally non-refundable once work has been performed

Monthly service fees are non-refundable once the service period has begun and services are rendered

Domain registrations, SSL certificates, and related renewals are non-refundable once processed

Custom printing and promotional items are non-refundable once production begins

Marketing retainers are non-refundable for completed service periods
Any exception must be agreed in writing.
10. Intellectual Property and Client Content
10.1 Client-Owned Content
The Client represents that they own or have rights to all content provided to Peppre (logos, images, text, trademarks).
10.2 Work Product
Unless otherwise agreed in writing, final deliverables are provided for the Client’s business use. Certain tools, templates, workflows, or internal methods used by Peppre remain Peppre’s property.
11. Communications and Records
Peppre maintains records such as invoices, service agreements, email correspondence, and production approvals for business operations, support, and compliance purposes.
Clients agree that electronic communications (email confirmations, approvals, and invoices) may serve as valid authorization for services and billing.
12. Disputes and Chargebacks
If you have a billing question, please contact us promptly so we can resolve the issue.
Peppre maintains documentation to support legitimate transactions, including:

Unresolved disputes may be handled through the payment processor’s dispute process. The Client agrees to provide reasonable cooperation to resolve disputes.
13. Disclaimer of Warranties
Services are provided on an “as-is” and “as-available” basis. Peppre disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability and fitness for a particular purpose.
14. Limitation of Liability
To the maximum extent permitted by law, Peppre shall not be liable for:

lost profits, business interruption, or loss of data

third-party provider outages or failures

domain registrar actions or policy changes

carrier shipping delays

delays caused by Client failure to provide materials or approvals
Peppre’s total liability for any claim shall not exceed the amount paid by the Client to Peppre for the specific service giving rise to the claim within the prior 30 days (or as otherwise stated in a written agreement).
15. Governing Law
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.
16. Updates to These Terms
Peppre may update these Terms periodically to reflect changes in services, legal requirements, or operational practices. Updated Terms will be posted on our website and will be effective upon posting.
